1. Interpretation & Definitions

In these Terms & Conditions (“Terms”): “Company,” “we,” “us,” or “our” means Tredona LLC. “Website” means tredona.com and associated pages. “Customer,” “you,” or “your” means any person or entity using the Website or purchasing Products. “Products” are physical goods offered for sale on the Website.

2. Acceptance of Terms

• By accessing or using the Website, you agree to these Terms and to our Privacy Policy.
• If you disagree, discontinue use immediately.
• You must be 18+ or have legal parental consent to make purchases.

3. Accounts & Security

• Provide accurate, current, and complete registration and address details.
• You are responsible for safeguarding your credentials and all activity under your account.
• Notify us promptly of any unauthorized access or suspected breach.
• We may suspend or terminate accounts for suspicious activity or violations.

4. Orders & Contract Formation

• Your order is an offer to buy Products under these Terms.
• We may accept or reject any order at our sole discretion.
• A binding contract forms only when we send an explicit order confirmation.
• We may cancel before or after confirmation if items are unavailable, pricing/description errors occur, or fraud is suspected.

5. Pricing, Taxes & Payment

• Prices are shown in USD unless stated otherwise and may change without notice.
• Applicable sales taxes, import duties, VAT/GST, and carrier fees are borne by the Customer.
• We accept major cards and trusted methods shown at checkout (Visa, Mastercard, American Express, PayPal).
• You authorize us to charge your selected method for the total order amount, including taxes and shipping.

6. Shipping, Delivery & Risk of Loss

• We ship domestically and internationally via reputable carriers.
• Estimated delivery dates are for convenience only and are not guaranteed.
• Risk of loss passes to you upon our delivery to the carrier; title passes upon full payment.
• International orders may incur customs duties/taxes and clearance delays, which are your responsibility.
• We are not liable for delays caused by customs, strikes, weather, or carrier disruptions.

7. Return & Refund Policy (30 Days)

• You may request a return within 30 days of delivery.
• Items must be unused, in original packaging, with all tags/accessories, and include proof of purchase.
• Return shipping costs are the Customer’s responsibility unless the return is due to our error or a defective item.
• Defective or damaged-in-transit items must be reported within 7 days of delivery with photos/video as applicable.
• After inspection, refunds are issued to the original payment method within 7–10 business days.
• Non-returnable for hygiene/safety: e.g., underwear, earrings, personal care items, or items marked “final sale.”

8. Fraud Screening & Holds

• Orders may be subject to automated/manual fraud screening. We may request additional verification.
• We may place a temporary hold or cancel orders that fail checks or appear high risk.
• Confirmed fraud is reported to payment processors and authorities.

9. Prohibited Uses

You agree not to: (a) use the Website unlawfully; (b) upload malware or harmful code; (c) infringe intellectual property; (d) misrepresent identity or payment data; (e) interfere with Website operations; (f) scrape or harvest data without consent.

10. Intellectual Property & DMCA

• All Website content, logos, images, product data, and designs are owned by Tredona LLC or its licensors.
• No reproduction, distribution, public display, or derivative works without our prior written consent.
• DMCA Notices: If you believe content infringes your copyright, email us a notice including: (i) your contact details; (ii) identification of the copyrighted work; (iii) the infringing material URL; (iv) a good-faith statement; (v) a statement under penalty of perjury; (vi) your signature (typed is acceptable).
• We may remove content in response to valid notices and may terminate repeat infringers’ accounts.

11. Promotions, Coupons & Gift Cards

• Promotions and coupons are subject to their own terms. In case of conflict, promo terms control.
• Discounts apply before taxes and shipping. One promo per order unless stated otherwise.
• Gift cards are nonrefundable and not redeemable for cash except where required by law.

12. Errors, Availability & Corrections

• We strive for accuracy but do not warrant that all content, pricing, or availability information is error-free.
• We may correct errors, update information, or cancel orders affected by errors at any time.
• Product colors may vary due to device displays and lighting.

13. Disclaimer of Warranties

Except as required by law, the Website and Products are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted/error-free operation.

14. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim related to a Product shall not exceed the amount you paid for that Product. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business opportunities.

15. Force Majeure

We are not liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, governmental actions, labor disputes, carrier failures, or supply-chain interruptions.

16. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of New Mexico, USA.
• Parties will first attempt to resolve disputes in good faith within 30 days.
• If unresolved, disputes shall be submitted to binding arbitration in New Mexico under the American Arbitration Association rules.
• Class actions and jury trials are waived to the fullest extent permitted by law.

17. Miscellaneous

• Severability: If any provision is unenforceable, the remainder remains in effect.
• Waiver: Failure to enforce any right is not a waiver of future enforcement.
• Assignment: You may not assign your rights without our consent; we may assign to an affiliate or successor.
• Entire Agreement: These Terms constitute the entire agreement regarding the Website and Products.
• Changes: We may update these Terms at any time by posting the revised version with a new Effective Date. Continued use constitutes acceptance.
• Survival: Sections relating to IP, returns, warranty disclaimers, limitation of liability, governing law, arbitration, and miscellaneous survive termination.
